In short
KadrX LLC (Republic of Armenia, "KadrX") provides TV operators with software and a technical platform: a management panel, server software and the ArmPlay app. The operator alone chooses what content to show its subscribers, obtains the rights to it and is fully responsible for it. By connecting to the platform (by signing an agreement with KadrX or by accepting these terms in the panel), the operator agrees to these terms.
1. Definitions
- Platform — KadrX software and technical services: the management panel, server software, the ArmPlay app and their updates.
- Operator — a company or sole trader that has connected to the platform to provide a TV service to its subscribers under its own brand.
- Subscriber — a customer of the operator who uses the ArmPlay app.
- Content — everything the operator shows subscribers through the platform: TV channels, programmes, catch-up recordings, films, series, programme guides, images, descriptions, logos and trademarks.
- Rights holder — a person who owns or manages rights to content.
2. What KadrX does
- KadrX provides only software and a technical platform.
- KadrX does not select, order, purchase, license, modify or pre-screen the operator's content. KadrX is not a broadcaster, distributor or supplier of content and does not sell subscriptions to subscribers.
- If the operator uses platform servers, stream delivery, temporary storage, catch-up recording and video processing are performed automatically, according to the operator's settings and instructions. In that case KadrX acts as a technical intermediary.
- The price and payment terms for KadrX services are set by a separate agreement or invoice.
3. Operator warranties and obligations
- The operator represents and warrants that it holds all rights and rights-holder permissions required to show all content it connects to the platform to its subscribers: in the territories, on the devices and in the forms (live, catch-up recording, catch-up viewing, films section) in which the operator shows that content.
- The operator does not connect content obtained without an agreement with the rights holder, including other parties' streams taken without permission, or content prohibited by law.
- The operator keeps documents confirming its rights to content and provides them to KadrX on request within 5 business days.
- The operator acts in its own name and at its own responsibility. It enters into agreements with subscribers, accepts payment, handles refunds, provides support and itself complies with the legal requirements for its business: licences, consumer protection, personal data protection, age restrictions and advertising rules.
- The operator uses in its brand only names, logos and trademarks it has rights to.
- The operator does not present KadrX as a content supplier to subscribers, rights holders, app stores or government authorities. The KadrX name may be used in content advertising only with KadrX's written consent.
- The operator complies with the rules of the app stores through which ArmPlay is distributed (Google Play, the App Store and others) with respect to content and communication with subscribers.
4. Rights holder complaints, checks and suspension
- KadrX accepts rights holder complaints at support@kadrx.net and forwards them to the operator.
- Within 2 business days of receiving a complaint, the operator either confirms its rights with documents or disables the content complained about.
- If the operator does not respond within that time or does not confirm its rights, KadrX may disable that content itself without further notice.
- KadrX may immediately, without prior notice, restrict or suspend the operator's access to the platform or to the ArmPlay app if: an infringement has been confirmed repeatedly; a court, government authority or the law requires it; an app store requires it, or the operator's breach threatens the publication of the ArmPlay app or KadrX's developer account; the operator has breached sections 3, 6 or 7 of these terms.
- Restriction or suspension due to the operator's breach does not entitle the operator to compensation and does not release it from obligations already incurred.
5. Indemnity
- The operator indemnifies KadrX, its members, employees and contractors against all losses and costs, including reasonable legal fees, fines and amounts paid on claims by rights holders, subscribers, government authorities and app stores, where the claim relates to the operator's content, its service, or a breach of these terms or the law.
- KadrX notifies the operator of such a claim. At KadrX's request the operator settles the claim and defends KadrX at its own expense. KadrX may take part in this itself.
6. App stores
- The ArmPlay app is published by KadrX. KadrX decides what is included in app store builds.
- Where needed to comply with app store rules, KadrX may restrict the display of the operator's content or brand in the app store build or disable the operator in it.
- The operator may not require KadrX to publish an app or feature that breaches app store rules or third-party rights.
7. Subscriber data
- The operator determines why and how its subscribers' data is processed, obtains their consent where required and publishes its own privacy policy.
- KadrX processes subscriber data on the operator's behalf and only to run the platform, as described in the privacy policy. KadrX does not sell data or use it for advertising.
8. Limitation of KadrX liability
- The platform is provided "as is". KadrX fixes failures within a reasonable time but does not guarantee uninterrupted or error-free operation.
- KadrX is not liable for the operator's content, for the operator's signal sources and suppliers, for subscribers' actions or for app store decisions.
- KadrX is not liable for indirect losses, lost profits or loss of data.
- KadrX's total liability to the operator is limited to the amount the operator paid KadrX in the 3 months before the event giving rise to the claim.
- The limitations in this section do not apply where the law does not allow them.
9. Term and termination
- These terms apply from the operator's connection to the platform until its disconnection.
- Either party may end the relationship by giving the other 30 days' written notice (including by email).
- KadrX may end the relationship immediately if the operator breaches sections 3–7.
- After termination KadrX may delete the operator's data and settings after 30 days. Sections 3, 5 and 8 continue to apply to events that occurred before termination.
10. Changes
KadrX may change these terms by giving notice in the panel or by email at least 14 days in advance. Changes required by law or by app store rules may take effect immediately. If the operator continues to use the platform after the changes take effect, it agrees to them.
11. Governing law and disputes
- These terms are governed by the law of the Republic of Armenia.
- The parties first try to resolve disputes by negotiation. If they cannot agree, the dispute is heard by a court of the Republic of Armenia at the place of registration of KadrX LLC.
- If a separate agreement has been signed with the operator, the agreement prevails in case of conflict. Sections 3–6 of these terms still apply unless the agreement expressly excludes them.
